1. OVERVIEW

This website is operated by The Fabrica. Throughout the site, the terms “we”, “us” and “our” refer to The Fabrica.

The Fabrica offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or engaging in our services, you agree to be bound by the following Terms of Service (“Terms”), including additional policies referenced herein.

These Terms apply to all users of the site, including without limitation users who are browsers, clients, vendors and/or contributors of content.

If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.


2. PRODUCTION MANAGEMENT SERVICE

The Fabrica provides production management and manufacturing coordination services for fashion brands.

Services may include:

  • product validation

  • sample development

  • manufacturing coordination

  • supplier communication

  • production supervision

  • delivery coordination

The Fabrica does not operate manufacturing facilities directly. Production is carried out by independent third-party manufacturing partners within our supplier network.

The Fabrica acts as a coordination and management partner between the client and the manufacturing partners.



3. SAMPLING DEVELOPMENT  

Sampling is used to validate product design, materials, sizing, and construction before bulk production begins.

All sample development costs must be paid in full prior to the start of sample production.

Depending on product complexity, multiple sample revisions may be required before final approval.

Clients are responsible for reviewing and approving samples before confirming bulk production.

3.1 CUSTOM PRODUCTS

All products developed and manufactured through The Fabrica are custom-made based on client specifications.

As such, products are not suitable for resale and may differ from standard retail goods.

By engaging in our services, the client acknowledges that custom production involves unique processes, materials, and outcomes tailored specifically to their requirements.


4. PRODUCTION ORDER

Bulk production begins only after:

  • sample approval

  • production specifications confirmation

  • quantity confirmation

  • deposit payment

Minimum order quantities (MOQ) may apply depending on the manufacturing partner and garment type.

Production specifications approved by the client will be used as the reference for bulk manufacturing.



5. PAYMENT TERMS

Manufacturing payments typically follow the standard structure:

  • 50% deposit before production begins
  • 50% remaining balance before shipment

Sample development costs must be paid in full before sampling begins.

Failure to complete payments may result in production delays or suspension of services.

As of 16 March, 2026 no orders will be started unless the payment conditions are met.

For sample requests: full payment is required in advance
For bulk orders: a deposit must be paid before production begins

5.1 Deposits and Advance Payments

All deposits and advance payments are non-refundable once any of the following has commenced:

  • sample development
  • material sourcing
  • production preparation
  • manufacturing coordination

Deposits represent a commitment to allocate resources, materials, and supplier capacity specifically for the client’s project.

5.2 Outstanding Payments

The Fabrica reserves the right to suspend work, withhold production progress, or delay delivery in the event of unpaid balances.

Goods shall not be shipped, delivered, or made available for collection until full payment has been received.


6. PRODUCTION TIMELINES

Production timelines vary depending on:

  • product complexity

  • materials

  • quantities

  • manufacturing capacity

  • logistics conditions

Any timelines communicated to the client are estimated timelines and may change depending on supplier schedules or external circumstances.



7. SUPPLIER NETWORK 

The Fabrica collaborates with a network of independent manufacturing partners.

These suppliers operate as separate entities responsible for the production of garments.

The Fabrica facilitates communication and coordination between clients and manufacturing partners but does not directly control factory operations.



8. QUALITY CONTROL AND APPROVAL 

Client approval of final samples constitutes confirmation of:

  • materials

  • construction

  • sizing

  • specifications

Once bulk production begins, modifications to product specifications may not be possible or may require additional costs and delays.


9. DELIVERY AND LOGISTICS

The Fabrica may assist in coordinating shipment and delivery supervision.

Shipping timelines depend on logistics providers, international transport conditions, and customs procedures.

The Fabrica is not responsible for delays caused by third-party shipping providers or customs authorities.

9.1 CLIENT RESPONSIBILITIES AND DELAYS

The client is responsible for providing timely approvals, feedback, and required information throughout the development and production process.

If the client fails to respond within seven (7) days, the project may be placed on hold.

If no response is received within fourteen (14) days, this may be considered a breach of cooperation.

If no response is received within thirty (30) days, the project may be considered abandoned, and all payments made shall be retained to cover costs incurred.

Any delays caused by the client may result in extended production timelines and additional costs.

9.2 CANCELLATION AND COST RECOVERY

Orders for custom or made-to-order products may not be cancelled once accepted, except with prior written agreement from The Fabrica.

In the event of cancellation:

  • all deposits and payments made shall be retained to cover costs incurred
  • costs may include materials, labor, sampling, and production preparation
  • if costs incurred exceed the amounts paid, The Fabrica reserves the right to invoice the client for the remaining balance

Due to the custom nature of the products, cancellations do not entitle the client to a refund once production-related activities have commenced.



10. WEBSITE USE

You may not use our website or services for any illegal or unauthorized purpose.

You agree not to reproduce, duplicate, copy, sell or exploit any portion of the service without express written permission by us.



11. ACCURACY OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current.

The material on this site is provided for general information only and should not be relied upon as the sole basis for decision-making.



12. LIMITATION OF LIABILITY 

The Fabrica shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or products manufactured by third-party suppliers.

Manufacturing services are performed by independent suppliers and therefore The Fabrica cannot guarantee manufacturing outcomes beyond coordination and supervision efforts.



13. CHANGES OF TERMS

We reserve the right to update, change or replace any part of these Terms of Service by posting updates to our website.

It is your responsibility to check this page periodically for changes.



14. GOVERNING LAW

These Terms of Service shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which The Fabrica operates.
